Value CGM, LLC – Terms of Service

Effective Date: February 26, 2026

Welcome to Value CGM, LLC (“Value CGM,” “we,” “us”). By accessing or using this website, including any pages, forms, or applications (collectively, the “Site”), you agree to be bound by these Terms of Service (“TOS”) and our Seller Agreement.

If you do not agree to these terms, do not use this Site or submit products.

1. Eligibility and Legal Compliance

1.1 You must be at least 18 years old and legally capable of entering into binding contracts.

1.2 By using the Site to sell or submit products, you warrant and certify under penalty of law that:

  • You are the lawful owner of all submitted products.

  • The products are authentic, factory-sealed, and have at least six (6) months before expiration.

  • The products were not paid for, reimbursed, or provided by Medicare, Medicaid, TRICARE, VA, or any federal or state healthcare program.

  • You are not violating any federal, state, or local law by submitting these products.

1.3 You agree that submitting ineligible, fraudulent, or government-funded items may expose you to civil or criminal liability, and you indemnify Value CGM from any resulting claims.

2. Site Use and Product Submission

2.1 All product submissions are subject to inspection and verification.

2.2 Payment is conditional upon inspection approval and eligibility verification.

2.3 Rejected items may be:

  • Returned at your expense, or

  • Destroyed securely if legally required.

2.4 You must provide accurate product information (brand, model, quantity, lot number, expiration date, and condition).

2.5 You agree to provide any requested identity verification, including government-issued ID and tax information, for compliance with IRS, AML, and regulatory obligations.

3. Prohibited Conduct

You agree not to:

  • Submit products that are government-funded, stolen, recalled, counterfeit, or marked “Not for Resale.”

  • Interfere with a physician’s prescribed treatment or encourage patients to skip doses.

  • Circumvent any law, regulation, or guideline governing the resale of medical devices.

  • Submit false or misleading information.

Violation of this section may result in immediate account suspension, legal action, and reporting to authorities.

4. Payment Terms

4.1 Payment is issued only after inspection and eligibility verification.

4.2 Standard payment timeframe is within 24 business hours of inspection approval, unless otherwise stated in writing.

4.3 Value CGM reserves the right to adjust, withhold, or refuse payment if items are rejected or non-compliant.

5. Intellectual Property

All content on this Site (including text, graphics, logos, and software) is the property of Value CGM or its licensors. You may not copy, reproduce, or redistribute content without express written permission.

6. Medical Disclaimer

Value CGM does not provide medical advice. Selling unused supplies should not interfere with prescribed treatment plans. Consult a licensed healthcare provider for medical questions.

7. Indemnification

You agree to indemnify, defend, and hold harmless Value CGM, its owners, affiliates, officers, and employees from any claim, liability, loss, or expense arising from:

  • Violation of these TOS

  • Submission of ineligible or unlawful products

  • Misrepresentation or fraudulent activity

8. Limitation of Liability

To the maximum extent permitted by law:

  • Value CGM is not liable for any direct, indirect, incidental, consequential, or punitive damages arising from use of the Site or transactions.

  • Payment delays, inspection issues, or rejected items are solely your responsibility.

9. Dispute Resolution and Arbitration

9.1 Binding Arbitration:
All disputes arising out of or relating to this TOS or your transactions shall be resolved by binding arbitration in North Carolina under the rules of the American Arbitration Association.

9.2 Class Action Waiver:
You agree to resolve disputes individually, and you waive any right to participate in a class action or collective proceeding.

9.3 Governing Law:
This TOS is governed by the laws of the State of North Carolina, without regard to conflicts of law principles.

10. Termination

Value CGM may terminate or suspend your access to the Site at any time for violations of this TOS, non-compliance with the Seller Agreement, or suspected unlawful activity.

11. Miscellaneous

  • Force Majeure: Value CGM is not responsible for delays caused by events beyond its control.

  • Severability: If any provision of this TOS is found invalid, the remaining provisions remain enforceable.

  • Entire Agreement: These TOS, along with the Seller Agreement, constitute the entire agreement between you and Value CGM regarding your use of this Site.

By using this Site, submitting products, or completing transactions, you acknowledge that you have read, understood, and agree to all terms above and in the Seller Agreement.
